Terms of Service

Welcome to Maarge (the “Application”), a software platform designed to support users in organizing caregiving activities for family members or clients. By accessing or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (“Terms” or “Agreement”). If you do not agree with these Terms, you may not use the Application.
1. Age Restrictions & User Eligibility
1.1 Minimum Age Requirement
You must be at least 13 years of age to use the Application. If you are under 18 (or the age of majority in your jurisdiction), you may use the Application only under the supervision and with the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
1.2 Legal Capacity
By using the Application, you represent that you have the legal capacity to enter into this Agreement. If you are using the Application on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Medical Disclaimer
2.1 No Medical Advice
Maarge is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. Any health-related content or information accessible through the Application is provided for informational purposes only. Users should seek professional advice before making any medical or healthcare decisions.
2.2 No Guarantee of Compliance
Use of the Application does not guarantee compliance with any legal or regulatory standards (including HIPAA or other healthcare regulations). Each user is solely responsible for ensuring compliance with all applicable laws.
3. Account Creation & Responsibility
3.1 Registration
To access certain features, you must create an account. You agree to:
- Provide accurate and complete information
- Maintain the accuracy of such information
- Keep your login credentials confidential
You are responsible for all activities under your account.
3.2 Unauthorized Access
You must notify us immediately at support@maarge.com of any unauthorized use of your account or breach of security. Maarge is not liable for losses resulting from unauthorized use of your username or password.
4. Privacy & Data Use
4.1 Collection & Use
By using the Application, you consent to the collection, use, and storage of your data in accordance with our Privacy Policy. We implement reasonable security measures but cannot guarantee complete security.
4.2 HIPAA & Healthcare Data
- HIPAA: Unless we expressly enter into a separate Business Associate Agreement (BAA), Maarge does not intend to act as a Business Associate under HIPAA.
- User Responsibility: You acknowledge that you are solely responsible for determining whether the data you store or process via the Application constitutes protected health information under applicable laws and ensuring compliance with regulatory requirements.
4.3 Consent for Third-Party Data
If you upload personal or health information of others (e.g., family members or clients), you represent and warrant that you have obtained all necessary consents to share such information within the Application.
4.4 Data Retention & Deletion
We retain your data as long as necessary to provide the Services or as required by law. You may request deletion of your data at any time by visiting our account deletion page or contacting support@maarge.com.
5. Acceptable Use & User Content
5.1 Acceptable Use
The Application is intended to organize caregiving activities (scheduling tasks, managing communications, sharing updates). You agree not to:
- Use the Application for any illegal or unauthorized purposes
- Upload or share content that is false, misleading, defamatory, or harmful
- Disrupt or interfere with the Application’s functionality or security
5.2 User Content
You retain ownership of any content you upload (e.g., schedules, notes). By providing user content, you grant Maarge a non-exclusive, royalty-free license to use, store, display, and process such content solely for the purpose of operating the Application.
6. Support & Service Commitments
6.1 Support
- We provide support (primarily via email) during the term of this Agreement and will use commercially reasonable efforts to address reported errors or issues.
- We do not guarantee uninterrupted or error-free service.
7. No Medical Liability, Warranties & Disclaimers
7.1 No Medical or Professional Liability
Maarge and its affiliates, officers, employees, or agents are not liable for any medical outcomes, healthcare decisions, or events arising from reliance on the Application.
7.2 Disclaimer of Warranties
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Application will be secure, free of viruses, or error-free.
7.3 No Surreptitious Code
To the best of our knowledge, the Application does not contain spyware, hacking code, or similar malicious mechanisms. Similarly, you warrant that you will not introduce unauthorized code or mechanisms into the Application.
8. Limitation of Liability
8.1 Exclusion of Damages
To the fullest extent permitted by law, Maarge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or service interruptions.
8.2 Cap on Liability
In jurisdictions that do not allow the limitation or exclusion of liability for incidental or consequential damages, our liability shall be limited to the extent permitted by law. If liability cannot be so excluded, it shall be limited to the fees you paid to Maarge in the twelve (12) months preceding the incident.
9. Indemnification
You agree to indemnify, defend, and hold harmless Maarge, its affiliates, and its respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or connected with:
- Your access to or use of the Application
- Your violation of these Terms
- Any claim that your use of the Application violated any third-party right, including intellectual property or privacy rights
- Content you submit or transmit through the Application
- Any unauthorized or unlawful use of the Application
10. Termination
We reserve the right to suspend or terminate your access to the Application at our sole discretion, with or without notice, for conduct that violates these Terms or is otherwise harmful to the Application or other users.
11. Dispute Resolution & Governing Law
11.1 Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.
11.2 Arbitration
Any dispute arising from or relating to these Terms or the Application shall be settled by binding arbitration in California, in accordance with the rules of the American Arbitration Association. Judgment on the arbitration award may be entered in any court having jurisdiction.
You agree to waive any right to a trial by jury or to participate in a class action or representative proceeding.
11.3 Injunctive Relief
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent unauthorized use or misuse of the Application, without first engaging in arbitration.
12. Intellectual Property
12.1 Ownership
All rights, title, and interest in and to the Application (excluding user content) are and will remain the exclusive property of Maarge LLC.
12.2 Restrictions
You shall not copy, modify, distribute, sell, sublicense, reverse-engineer, or attempt to extract the source code of the Application or any part thereof.
13. Third-Party Data and Licensing
13.1 Drug Data Disclaimer
Our application incorporates drug information sourced from the RxNorm database, maintained by the U.S. National Library of Medicine (NLM). RxNorm provides normalized names for clinical drugs and links to many of the drug vocabularies commonly used in pharmacy management and drug interaction software.
Use of this data is subject to the terms outlined in the UMLS Metathesaurus License Agreement.
13.2 Disclaimer
Some material in the UMLS Metathesaurus is derived from copyrighted sources of the respective copyright holders. Users of the UMLS Metathesaurus are solely responsible for compliance with any copyright, patent, or trademark restrictions.
The National Library of Medicine (NLM) and other contributors to the UMLS Metathesaurus make no warranties regarding the accuracy or completeness of the data. The use of RxNorm data does not constitute an endorsement by the NLM or its partners.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions will remain in full force and effect.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting a notice on our website or emailing you. Your continued use of the Application after changes become effective indicates your acceptance of the new Terms.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by Maarge, constitute the entire agreement between you and Maarge concerning the Application, and supersede all prior agreements or communications.
